1.Name of the association :        The name of the association is. NAYAGARH (AUTONOMOUS) COLLEGE ALUMNI ASSOCIATION ( NCAA )
2.Registered Office : The registered office of NCAA  shall be at Trinath Chhak, College Road, Nayagarh, in the state of Odisha , PIN – 752069.
3.Area of Operation :                     The area of operation of NCAA  will be in Nayagarh, Odisha.
4.AIMS & OBJECTIVES OF ALUMNI ASSOCIATION
Irrespective of caste, creed, religion, sex & age NCAA will undertake programmes for :
  1. To create a conducive environment for quality education in Nayagarh Autonomous College, Nayagarh
  2. To act and support the Management of the College for furtherance of positive education atmosphere.
  3. To work and facilitate for provision of need based education to students considering the demand of present time.
  4. To organize and motivate the Alumnies of Nayagarh (Autonomous) Collage, Nayagarh for their cooperate on and support for introducing new curriculum in academics and allied areas.
  5. To utilize the talent and capacities with the Alumnies with a bright prospect for the cause of the College as well as students.
  6. To act as a bridge between the College Management, Staffs teaching and non-teaching, students and the parents / guardians for an effective education and Human Resource Development system.
  7. To motivate and mobilize the parents / guardians for their active cooperation for overall good governance and quality academic aspect in the college.

7 . :  RULES AND REGULATIONS OF NAYAGARH ( AUTONOMOUS ) COLLEGE ALUMNI ASSOCIATION, ( NCAA )

1. INTERPRETATION :
In the interpretation of these rules there is anything inconsistent with the object or context.

  1. ‘NCAA’ means Nayagarh (Autonomous) College Alumni Association in short NCAA
  2. Member” means an individual duly admitted into the membership of NCAA.
  3. Memorandum and Bye-Laws” means the memorandum of association and rules and regulations of NCAA.
  4. Executive Committee” means the executive committee of NCAA constituted under these rules.
  5. General Body” means an assembly consisting of all members of NCAA.
  6.  “PresidentVice-President, Secretary, Joint-Secretary and Treasurer” means the respective office bearers of NCAA.
  7. Year´menas year beginning from 1st April and ending on 31st March.
  8. Month” means a Calendar month.

2. MEMBERSHIP QUALIFICATION :
                SECTION – I

  1. Any person who was a student of Nayagarh (Autonomous) College, Nayagarh and subscribing to the objects of NCAA as set out in the memorandum and Bye-Laws shall apply in writing to NCAA for admission and shall sign the declaration forms and pay in advance sum of Rs.500.00 as membership fees for enrolment as an ordinary member. The application may be accepted or rejected by the Executive Committee.  Irrespective of Caste, Creed, religion etc. he should not be found guilty by any court of law.

                CLASSIFICATION OF MEMBERSHIP :

i.             Ordinary Member :        

Any person who was a student of Nayagarh (Autonomous) College, Nayagarh and subscribing to the objects of NCAA as set out in the memorandum and Bye-Laws shall apply in writing to NCAA for admission and shall sign the declaration forms and pay in advance sum of Rs.500.00 as membership fees for enrolment as an ordinary member and he/she has to pay Rs 500.00 Annual membership fee within 30th June of every year. The application may be accepted or rejected by the Executive Committee.  Irrespective of Caste, Creed, religion etc. he should not be found guilty by any court of law.
ii.             Life Member :                  
Any person who believes the backgrounds and objects of NCAA and subscribing to its
objects may become life member and he/she has to pay Rs. 5000/- as membership
fee after approval of the Executive Committee.

iii.            Founder Member :        
Person on the rolls on the date of registration of NCAA shall be called founder member
with an enrolment fee of Rs 2000/- only ( one time ).
iv.           Patrons :                             
The persons of high reputation specialize in Science, Agriculture, Technology, Industries,
Education, Social Service and such other person who will be helpful for advancing the
cause of NCAA may be co-opted by the Executive Committee as patrons. Also, persons
donating ore than Rs 1,00,000/- to NCAA for its cause can be a Patron after decision by
the Executive Committee. The patrons will have no voting right.
v.            Ex Officio member :
Principal, Nayagarh (Autonomous) College shall be the Ex Officio member of NCAA
General Body as well as in the Executive Committee without any voting right but can
suggest, & guide and extend cooperation where ever needed.

CEASATION OF MEMBERSHIP

i.              Any member found or proved to be detrimental to the Aims and Objects of NCAA shall cease to  be a member of NCAA by resolution in the Executive Committee Meeting.

ii.              Any member found guilty by any court of Law for any reason shall cease to be a member of NCAA
SECTION – II  :    RULES FOR MEMBERSHIP :

  1. Any individual shall deem to be member on and from the date which the executive committee passes a resolution admitting him/her to be a member to the class applied for.
  2. Membership fee shall become due in advance at the beginning of every year i.e., within 30th June eve @ Rs.500.00 per annum.
  3. All the applications for membership shall have to be approved by the executive committee which reserves the right to reject any application without assigning any reason there of and whose decision shall be final.
  4. A member of NCAA shall cease to be a member on the acceptance of his/her resignation, he/she dies or does not pay annual subscription found to be working against the interest of NCAA.
  5. Any person who is (i) Unsound mind, (Ii) declared to be insolvent by a court of law of (III) for an offense involving moral turpitude shall not be eligible for membership.
  6. Any member who shall by any means cease to be a member shall remain liable for and shall pay to NCAA all money which may be due from him at the time of ceasing.

SECTION – III  :  GENERAL BODY :
a.            The general body of NCAA shall consist of ordinary members founder members, Life members, and patrons.
b.            GENERAL BODY MEETING

  1. The general body meeting must be held at least once in a year.
  2. At least 15 days notice shall ordinarily be given for any general body meeting specifying the date, time, venue and also agenda for discussion.
  3. The Secretary at the instruction of the President shall convene the General Body meeting.
  4. A special meeting of the general body may be convened by the Secretary if the Executive Committee of NCAA feels it essential or if at least 1/3rd (one third) of the member of the General Body want it by written requisition with a copy of the agenda of business to be discussed.

c.             CONDUCTING OF GENERAL BODY MEETING :

  1. The President of NCAA, in his/her absence the Vice-President will preside over all the meetings of general body. In the absence of both a member other than the Secretary elected by the members present shall preside.
  2. The person authorized to preside over the meeting shall have casting vote in addition.
  3. One member will have one not transferable vote.
  4. If the number of votes becomes equal on both sides for and against the Chairman may cast his/her additional vote for decision.
  5. 1/3rd (one third) of the number of the member on the roll of NCAA or 30 members whichever is less shall form the quorum for the meeting. The meeting of the general body can be adjourned for want of quorum for a period not exceeding 15 (fifteen) days and accordingly notices may be served to the members and no quorum is required in the adjourned meeting. The business shall be disposed off with the members present in the meeting.

SECTION – IV  :  POWERS OF GENERAL BODY :

  1. Confirmation of the proceedings of the last General Body.
  2. The general body will elect an Executive Committee and will determine the principles and functions of the Executive Committee.
  3. To amend, rescind or add to the constitution and Bye-laws of NCAA but proposal for these should first be placed before the Executive Committee for expression of its opinion.
  4. To elect, co-opt remove any member.
  5. Approval of the budget estimate and annual action plan.
  6. Approval of the annual report for the previous year.
  7. Approval of annual audited statement of accounts.
  8. Appointment of Auditors.
  9. Such other business with permission of the chair.
  10. To elect the office bearers of the Executive Committee namely the President, Vice-President, Secretary, Joint-Secretary, and Treasurer. These office bearers shall hold office for a period of 3 (three) years. Any person holding any office may be re-elected.

SECTION – V :
A.            Executive Committee :

  1. For furtherance of the objectives of NCAA the management of its affairs and funds, properties etc. shall vest in the Executive Committee.
  2. The executive committee shall consist of minimum 7 ( Seven ) and maximum 15 ( Fifteen) members directly elected by the General Body. 
  3. The Secretary will convene the meeting in consultation with the President specifying date, venue and agenda of discussion of the meeting.  At least 7 (seven) days prior notice shall be given.
  4. In case of urgency where there may not be sufficient time to convene a meeting the business may be transacted by circulating papers. Any decision arrived at by circulation shall be placed in the next meeting of the executive committee.  If any difference of opinion arise in the course of such circulation the matter shall not be decide4d by circulation but shall be placed before a meeting of the Executive Committee.
  5. The Executive Committee can meet at any time with the consent of all the members without notice.
  6. An emergency meeting of the Executive Committee can be convened by the Secretary in consultation of the President by giving 3 days notice.
  7. 2/3rd (two third) numbers of the Executive Committee shall have the power to call a meeting of the Executive Committee through the Secretary for sufficient reason by written request with an agenda of business to be discussed.

B.            CONDUCTING OF THE EXECUTIVE COMMITTEE :

  1. The President or in his/her absence the vice-President or in the absence of both the members present shall elect a member other than the Secretary from among themselves to preside over the meeting.
  2. The members shall have one vote but the President shall have a casting vote in addition.
  3. 1/3rd (two third) numbers of the members of the Executive Committee shall be required to form the quorum of the meeting. The meeting of the Executive Committee can be adjourned for want of quorum the adjourned meeting shall be held after 7 (seven) days

on the same place and at identical time and with the same agenda of business and the meeting shall be valid even if there is no quorum.

  1. All decisions in the meeting shall be made by consensus of opinion or by majority of votes.

C,            POWERS AND FUNCTIONS OF THE EXECUTIVE COMMITTEE :

  1. Shall exercise all powers so vested and do all necessary acts for the smooth and entire management of the affairs of NCAA.
  2. Shall have power to fill up the casual vacancies in the Executive Committee by cooperation till the next General Body meeting.
  3. The functions of the Executive Committee shall be as under :
    1. To frame rules of business for the conduct of the affairs of NCAA  not inconsistent with the act, rules and regulations.
    2. To consider application for membership.
    3. To appoint, promote, punish suspend or dismiss employees.
    4. To raise loans and deposits and decide the terms and conditions on which they should be accepted.
    5. Acquire or alienate properties by way of purchase, Lease, mortgage, exchange, gift etc.
    6. Enter into agreements, commitments for and on behalf of the association.
    7. Raise loans against promissory notes or other securities or hypothecation of all or any of the properties of NCAA from the central or state Government, any financial institution, funding agency or any individual.
    8. To sell and/or supply and/or give on hire purchase basis implements and equipments to members.
    9. Receive or accept gift, subscription, donations, charities, grants subsidies from Government and non-Government agencies, from any person or body in-corporate or otherwise.
    10. To constitute sub-committees.
    11. Delegate specific duties and powers to office bearers and sub-committees.
    12. File or cause to be filed or defend or cause to be defended legal suits for and n behalf of NCAA
    13. Decide the manner of investment of the funds and properties of NCAA from time to time.
    14. Cause the accounts of NCAA to be maintained properly and get them audited by qualified auditors and lay the audited statement of accounts and the audit report before the annual meeting of the general body.
    15. Determine terms and conditions of the services of the employees or workers of NCAA including their honorarium, pay, allowances.
    16. Open and operate accounts in Banks or Postal Savings Bank and authorize definite office bearers for this purpose.
    17. To insure movable and immovable properties of NCAA.
    18. To approve amendment Proposals.
    19. To do such other act as are necessary for the proper conduct of the business of NCAA.
  1. POWERS OF OFFICE BEARERS :

Without prejudice to the powers given to the executive committee of NCAA the office bearers shall be entrusted with specific duties as under :
I.             PRESIDENT

  1. The President of the Executive Committee shall be the President of NCAA.
  2. He shall preside over all the meetings of NCAA..
  3. He will give the decision and rulings on the basis of constitutional provisions or on the basis or majority voting.
  4. Shall be responsible for proper functioning of NCAA and for implementation of the decision of the General Body and Executive Committee.
  5. Shall cause to main important papers and matters to be presented to the executive committee and general body as the case may be as early as possible.
  6. Shall delegate specific duties to others.
  7. Shall present the annual report, audited statement of accounts in general body and executive committee.

2.            VICE-PRESIDENT

  1. The Vice-President will do all the duties of the President in his/her absence.
  2. Will discharge specific duties as delegated by the President.

3.            SECRETARY

  1. The Secretary shall work under the direct control of the President.
  2. Convening meetings in consultation with the President
  3. Will maintain complete list up-to-date members list.
  4. Maintenance of minutes fo the meetings.
  5. Preparation of annual budget & maintain or cause to be maintained the accounts of NCAA.
  6. To credit all receipts of NCAA accounts and incur expenditure from NCAA funds.
  7. To maintain records of funds, properties, and liabilities of NCAA.
  8. To get the accounts audited and at the instruction of the President place the audited statements of accounts before the General Body and Executive Committee.
  9. Custodian of NCAA funds and properties.
  10. Shall endorse all sales, transfers etc.
  11. Shall draw up agenda for discussion under President’s direction and circulate among members.
  12. Will represent the association in all civil and criminal proceedings and to sue and to be sued on behalf of NCAA.
  13. Perform such other activities as may be entrusted to him by the President.

4.            JOINT SECRETARY

  1. Shall assist the Secretary.
  2. Perform such other activities as may be entrusted by the President.

5.            TREASURER

  1. Shall remain in-charge of the funds.
  2. Discharge such other function as assigned to him by the President.

SECTION VI  :  AMENDMENT OF THE CONSTITUTION :

  1. The power of amendment of the constitution is vested with the General Body.
  2. The meeting for the consideration of the amendment proposal shall be valid if at least 3/5th (three fifth) of the total bonafide members of the General Body attend the meeting.
  3. All amendment proposals must first be accepted by the Executive Committee.
  4. Any proposal for amendment of the constitution should not be inconsistent with the objects of NCAA.
  5. The amendment will be final if the accepted amendment in the General Body meeting is registering authority.

SECTION – VII :    FUNDS OF NCAA :
i.        NCAA    will ordinarily raise funds from the following sources :
a.            Membership b. Contribution.  c. Loan and deposit  
d..  Grants from different institutions.   e. Donation and subsidies.
ii.             All the funds shall be kept in a Nationalized Bank or Post office.  It must be in the name of NCAA and shall be operated by Secretary and Treasurer or as decided by the Executive Committee.
iii.            The funds shall be spent only in a manner required to promote and furtherance the objects of NCAA as may be decided by the Executive committee.
iv.           The Executive Committee and any individual member who will apply for funds and/or will receive funds will be jointly and severally responsible for the safety and/or repayment of the funds.
v.            The responsibilities of such loanees will continue notwithstanding their ceasing to be the member from any category of membership.
vi.           The President & the Secretary shall jointly operate the accounts.
SECTION – VIII :  FINANCIAL YEAR :
The financial year shall commence on 1st April of the year and close on 31st March of the subsequent English Calendar Year.
SECTION – IX :  PROPERTY :
i.              The property (movable/immovable) be of NCAA shall be deemed to be vested for the time being with the executive committee and in all civil and criminal proceedings the property of NCAA may be described as the property of the Executive Committee and the members of the executive committee will be jointly or severally responsible for the amount of recoveries.
SECTION – X  : AUDIT OF ACCOUNTS

  1. The income and expenditure of NCAA must be properly audited every year by the approved auditors.
  2. The Executive Committee may appoint internal Auditors as and when necessary.
  3. All the records and books of NCAA would be maintained at its registered office as given above. 
  4. Officers authorized by financing agencies may inspect the accounts and papers and give proper directions to be carried out by NCAA.

SECTION – XI  :   DISSOLUTION :
In the event of winding up the NCAA  its assets and properties shall not be distribution among the members but shall be given to some registered organization having similar object or to Government provided that such decision is adopted by a majority of votes of the 3/4th (three fourth) of the members of the Executive Committee and failing such decision, the assets and properties shall be disposed off in accordance with the provisions of law after clearing all debts and liabilities of the committee.
